Rashan Pani UK Ltd Terms & Conditions
This page sets out the terms for the use of:
- www.Rashanpani.co.uk, website applications we provide, emails we send you and the information services, content and transaction capabilities on them (which together we call the “Sites”); and
- The range of services available on and through the Sites (all of which we call the “Services”).
- SOME BASICS ABOUT US AND THESE TERMS
1.2 Who is Rashan Pani? We are Rashan Pani UK Limited (company number 12433344, registered in England with our registered office at Abhilasha 73 Germander Place, Conniburrow, Milton Keynes, MK14 7DW England).
1.3 What does Rashan Pani do? We are an Online Asian Grocery Store.
1.4 Place restrictions: The Sites and the Services are directed solely at those who access the Sites or Services from the United Kingdom. We make no warranty or representation that the Sites or Services are available or otherwise suitable for use outside of the United Kingdom. If you choose to access the Sites or Services from locations outside the United Kingdom, you do so on your own initiative and are responsible for the consequences and for compliance with all applicable laws.
1.5 Age restrictions: You must be 18 years of age or over to use the Sites and the Services.
1.6 Prevention on use: We reserve the right to prevent you from using the Sites and the Services (or any part of them) at any time and for any reason.
2. REGISTRATION, YOUR ACCOUNT, AND EMAILS
2.1 Why Register? Depending on the functionality of our Sites at any time, you may or may not need to register to use much of its functionality or to access much of our Services. If you do register, we operate a Rashan Pani account in which information is stored about you (called your “Account”) and the act of creating an Account is known as “Register”. However, you must register in order to make a purchase from a Rashan Pani (which we may facilitate for you as part of the Services) Registering allows us to: provide you with easy access to information about you, your use of the Services, your past behavior on the Sites and your past purchases. We reserve the right to decline a new registration or to cancel an Account at any time. You register with us, so you don’t have to re-enter your information every time you do something (like make a purchase).
2.2 How to Register: To Register, you need to supply us with your name,
postcode, email address, and possibly some other personal information. While you are not required to provide any such additional information, we may not be able to allow you to participate in certain parts of the Services unless you complete and submit all such information. It is your responsibility to provide correct details and we cannot be responsible for the consequences of any incorrect details that you have provided.
2.3 Passwords: During Registration, you will also need to supply us with a
password. You must keep the password confidential and immediately notify us of any unauthorized third party becomes aware of that password or if there is any unauthorized use of your email address or any breach of security known to you. You agree that we are not responsible or liable if a person to whom your password is disclosed uses (and/or transacts via) our Services and Sites. Please note that you are entirely responsible if you do not maintain the confidentiality of your password.
2.4 Valid email addresses: All Accounts must be registered with a valid personal email address that you access regularly. Any Accounts which have been registered with someone else’s email address or with temporary email addresses may be closed without notice. We may require users to re-validate their Accounts if we believe they have been using an invalid email address.
2.5 Emails: We may send you administrative and promotional emails. We may also send you information regarding your Account activity and purchases, as well as updates about our Site and Services or other promotional offers. We may also send you information regarding the purchases you’ve made.
2.6 Third-party login: We may allow you to register or otherwise use the Services through third-party login services (such as Facebook or your Google account). If you choose to log in or register through such third-party services, you agree to the terms and conditions of all such third-party services. You acknowledge that the use of third-party services to log in or register for the Services may provide us with access to certain information and data that you have provided to such third-party service.
2.7 Registration for Rashan Panis: To facilitate your registration for a Rashan Pani, we may provide you with the ability to register for a relevant third-party website of a Rashan Pani through the Sites. If so, we may pre-populate certain fields in the registration form for that third-party website for you. If we do so, it will be for fields for which we already hold your information, such as your name, postcode and email address. However, you should not register for any third-party website through the Sites if such registration is prohibited by the terms of that third-party website. It is your responsibility to determine whether the terms and conditions of any third-party website do not allow registration through the Sites. If you register for any Rashan Pani through the Sites, you agree to all terms and conditions of that Rashan Pani.
3. YOUR OBLIGATIONS
3.1 Other service providers: Rashan Pani and other service providers (such as social network site providers) will have their own applicable terms and conditions, in relation to their own supply of their products and services, and you agree to (and shall) abide by those terms and conditions. The responsibility to do so is yours alone and you must only use any functionality offered by the Services and the Sites that does not put you in breach of those terms and conditions.
3.2 Accurate information: You warrant that all information provided on
Registration and contained as part of your Account during the course of the Agreement is true, complete and accurate and that you will promptly inform us of any changes to such information by updating the details in your Account.
3.3 Content on the Sites: It is your responsibility to ensure that any Goods or information available through the Sites or Services meet your specific requirements.
3.4 Things you cannot do: Without limitation, you undertake not to use or permit anyone else to use the Services or Sites.
3.5 Allergies: It is your responsibility to consider any Food Allergy (contact with WHEAT, EGGS, PEANUTS, TREE NUTS, and MILK) before you select any product.
4. Forbidden uses: The following uses of the Sites and Services are expressly prohibited, and you undertake not to do (or to permit anyone else to do) any of the following:
4.1 Resell the Services or Sites.
4.2 Furnish false data including false names, addresses, and contact details and fraudulent or unauthorized use of credit/debit card numbers.
4.3 Conduct transactions which are not bona transactions; open multiple Accounts; or engaging in any other fraudulent or abusive activities (including the posting of comments and/or reviews) to defraud Rashan Pani or programs offered.
4.4 Attempt to circumvent our security or network including accessing data not intended for you, logging into a server or Account you are not expressly
authorized to access or probing the security of other networks (such as running a port scan);
4.5 Access the Services or Sites in such a way as to, or commit any act that would or does, impose an unreasonable or disproportionately large burden on our infrastructure or that otherwise interrupts or interferes with its functionality, efficiency or operation.
4.6 Enter into fraudulent interactions or transactions with us, a Rashan Pani (which shall include entering into interactions or transactions purportedly on behalf of a third party where you have no authority to bind that third party or you are pretending to be a third party);
4.7 Use the Services or Sites (or any relevant functionality of either of them) in breach of the Agreement or in such a manner as to breach a Rashan Pani’s terms and conditions.
5. RULES ABOUT USE OF THE SERVICES AND THE SITES
5.1 Viruses and similar stuff: We do not give any warranty that the Services or the Sites are free from viruses or anything else which may have a harmful effect on any technology.
5.2 Stopping access: Although we will try to allow uninterrupted access to the Services and the Sites, access to the Services and the Sites may be suspended, restricted or terminated at any time and for any reason. We also reserve the right to block access to and/or to edit or remove any material which in our reasonable opinion may give rise to a breach of any of the Agreement or otherwise.
5.3 Closing Accounts: We reserve the right to close your Account if you are violating the Agreement in any way (including if you are seen to be using proxy IPs – Internet Protocol addresses – to attempt to hide the use of multiple accounts, or if you pretend to be located in a country different from where you actually reside, or if you disrupt the Sites or the Services in any way).
5.4 Multiple Accounts: You may not open multiple Accounts, whether to circumvent restrictions or otherwise. You may only open multiple Accounts if you have our express written permission to do so and only to the extent of that express permission. In any event, if you do use multiple Accounts, if we do take any action against you, you may have action taken against all of your Accounts.
5.5 Technology: We assume no responsibility for functionality which is dependent on your browser or other third-party software to operate. We do not guarantee that the Sites or Services will support all browsers or mobiles or operating systems or that the Sites or Services will continue to support browsers or mobiles or operating systems currently supported.
5.7 Withdrawal: We may always, at any time, withdraw any information or any aspect of any of the Services at any time.
6. SUSPENSION AND TERMINATION
6.1 Suspension: If you use (or anyone other than you, with your permission uses) the Services or Sites in contravention of the Agreement, we may suspend your use of the Services and/or Site (in whole or in part). If we do this, we may refuse to restore the Services or Sites until we receive an assurance from you, in a form we deem acceptable, that there will be no further breach of the provisions of the Agreement, or indeed we may refuse to restore the Services or Sites at all.
6.2 Law Enforcement: We shall fully co-operate with any law enforcement authorities or court order requesting or directing us to disclose the identity or locate anyone in breach of the Agreement.
6.3 Particular reasons for suspension: Without limitation to anything else in this Clause 6, we shall be entitled immediately or at any time (in whole or in part) to: i) suspend the Services and/or Sites; ii) suspend your use of the Services and/or Site; iii) suspend the use of the Services and/or Sites for persons we believe to be connected (in whatever manner) to you; and/or iv) terminate the Agreement immediately if:
6.3.1 You commit any breach of the Agreement;
6.3.2 We suspect, on reasonable grounds, that you have, might or will commit a breach of the Agreement; or
6.3.3 We suspect, on reasonable grounds, that you may have committed or been committing any fraud against us or any person.
6.4 Preservation of rights: Our right to terminate the Agreement shall not affect any other right or remedy we may have in respect of any breach or any rights, obligations or liabilities which have come about before termination.
7. Goods, Pricing, and Availability
7.1 Whilst every effort has been made to ensure that all graphical representations and descriptions of goods available from Rashan Pani correspond to the actual goods, Rashan Pani is not responsible for any variations from these descriptions. This does not exclude our liability for mistakes due to negligence on our part and refers only to variations of the correct Goods, not different goods altogether.
7.2 All pricing information on the website is correct at the time of going online, however, prices at the time of ordering are guide prices. Rashan Pani Reserves the right to change prices and alter or remove any special offers from time to time and as necessary. All pricing information is reviewed and updated every two months. Our site contains a large number of goods and it is always possible that, despite our best efforts, some of the goods listed on our site may be incorrectly priced. We will normally verify prices as part of our dispatch procedures so that, where a product’s correct price is less than our stated price, we will charge the lower amount when dispatching the product to you.
7.3 Any typographical, clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by the seller shall be subject to correction without any liability on the part of the seller.
7.4 No statement, description, warranty condition or recommendation contained in the website, price list, advertisement, communication or made verbally by any of the agents or employees of the seller shall be construed to enlarge, vary or override in any way thereof any of these conditions.
7.5 Rashan Pani does not warrant that such goods will be available. Stock indications are not provided on the website.
7.6 In the event that prices are changed during the period between an order being placed for Goods and Rashan Pani processing that order and taking payment, you will be contacted prior to your order being processed with details of the new price. We are under no obligation to provide the product to you at the incorrect (lower) price. The company reserves the right to cancel any orders placed at that price and return in full any payment received.
8.1 Delivery will be made to the address specified by the customer when completing the online order form.
8.2 The costs of delivery will be as displayed to you on our website, our delivery policy can be found at https://www.rashanpani.co.uk/delivery-return-policy/.
8.3 Rashan Pani shall use their reasonable endeavors to meet any date agreed for delivery. You have legal rights if we deliver any goods late or if we miss the delivery deadline for any goods then you may treat the Contract at an end immediately if any of the following apply:
(a) We have refused to deliver the goods;
(b) Delivery within the delivery deadline was essential (taking into account all the relevant circumstances); or
(c) You told us before we accepted your order that delivery within the delivery deadline was essential.
If you do choose to treat the contract as at an end for late delivery, you can cancel your order for any of the goods or reject goods that have been delivered.
8.4 If there is no one to receive the grocery delivery at the specified address at the time of your scheduled delivery, we reserve the right to return your order to our warehouse and to charge a delivery charge for re-delivery.
8.5 If Rashan Pani receives no communication from you, within 24 hours of delivery, regarding any problems with the goods, you are deemed to have accepted and received the goods.
9 Returns and Cancellations Policy
9.1 Rashan Pani is committed to bringing you high-quality products at the most competitive prices.
9.2 Rashan Pani always aims to provide fault free and undamaged goods On occasion however, goods may need to be returned. Returns are governed by these Terms and Conditions
9.3 If you receive goods which do not match those that you ordered, unless
accompanied by an explanatory note detailing the changes, stating reasons for the changes and setting out your options, you should contact us within 24 hours to arrange collection and return. Rashan Pani is not responsible for paying shipment costs for postal deliveries. You will be given the option to have the Goods replaced with those ordered (if available) or to be refunded through the payment method used by you when purchasing the goods. Refunds and replacements will be issued upon our receipt of the returned goods.
9.4 If you have received any Good/s in the perishable condition you should contact Rashan Pani within 12 hours to arrange collection to return (any perishable goods does not come under standard return policy). Goods returned in their original packaging. On the original receipt of the returned goods, the price of the goods (paid by you) will be refunded to you through the payment method used by you or replace good/s.
9.5 Any Good/s received and does not suites you or you don’t want you to have to let us know on the delivery, so we can take it back and refund/replace, as consumable goods cannot be returned and there will be no refund.
9.6 Should you change your mind, goods that are not regarded as perishable and are not faulty should be returned in a re-saleable condition in their original packaging within the appropriate 14 days.
9.7 If you wish to return goods to Rashan Pani for any of the above reasons, you must send written consent to firstname.lastname@example.org to make the appropriate arrangements.
9.8 Rashan Pani reserves the right to exercise discretion with respect to any returns under these Terms and Conditions. Factors which may be taken into account in the exercise of this discretion include, but are
not limited to:
9.8.1 Any use or enjoyment that you may have already had out of the goods;
9.8.2 Any characteristics of the Goods which may cause them to deteriorate or expire
rapidly, as stipulated above;
9.8.3 The fact that the Goods consist of audio or video recordings or computer software and that these have been unsealed by the consumer.
9.8.4 Any discounts that may have formed part of the purchase price of the Goods to reflect any lack of quality made known to the customer at the time of purchase.
9.8.5 Such discretion to be exercised only within the confines of the law.
11.1. Rashan Pani makes no warranty or representation that the website will meet your requirements, that it will be of satisfactory quality, that it will be fit for a particular purpose, that it will not infringe the rights of third parties, that it will be compatible with all systems, that it will be secure and that all information provided will be accurate. We make no guarantee of any specific results from the use of our services.
12. Changes to the Service and these Terms and Conditions
12.1 Rashan Pani reserves the right to change the website, its content or these Terms and Conditions at any time. We may, therefore, amend these conditions, so please check this page from time to time to take notice of any changes we have made. If we have to revise these conditions as they apply to you, we will contact you to give you reasonable advance notice of the changes and let you know how to cancel your contract if you are not happy with the changes.
13. Availability of the Website
13.1. The service is provided as-is and on an as-available basis. We give no warranty that the service will be free of defects and/or faults. To the maximum extent permitted by the law we provide no warranties (express or implied) of fitness for a particular purpose, the accuracy of the information, compatibility and satisfactory quality.
13.2. Rashan Pani accepts no liability for any disruption or non-availability of the website resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.
14. Limitation of Liability
14.1. We are not liable for business losses. We only supply the Products for domestic, private & commercial use. If you use the products for any commercial, business or resale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
14.2 We are not responsible for delays outside of our control. If our delivery of the products is delayed by an event outside of our control then we will contact you as soon as possible to let you know and we will take reasonable steps to minimize the effect of the delay. Provided we do this, we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the contract and receive a refund for any products you have paid for but have not yet received.
14.3 Insofar as is permitted by law, our only liability to you under these Terms and Conditions will be, at our sole discretion, to make good any shortage or non- delivery, to replace or repair any goods which are received by you in a damaged or defective state or to refund to you any sums actually paid by you for the goods in question. We will not be liable to you for any indirect or consequential loss or damage arising out of any problem you notify to us and will have no liability to you for any failure or delay in delivering goods or any damage or defect in goods delivered which is caused by any event or circumstance which is beyond our reasonable control. Nothing in this clause affects your statutory rights as a consumer.
14.4 Whilst every effort has been made to ensure that these Terms and Conditions adhere strictly with the relevant provisions of the Consumer Rights Act 2015, in the event that any of these Terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these Terms and Conditions and shall not affect the validity and enforceability of the remaining Terms and Conditions. This Term shall apply only within jurisdictions where a particular term is illegal.
15.1 All notices/communications shall be given to us either by post to our premises (see address above) or by email to email@example.com. Such notice will be deemed received on the day of sending if the email is sent on a business day and on the next business day if the email is sent on a weekend or public holiday.
16. Response times to email queries
16.1 We will attempt to respond to all queries within 1-2 business days
17. Written Communications
17.1 Applicable laws require that some of the information or communications we send to you should be in “writing”. When using our site, you accept that communication with us will be mainly electronic. We will contact you by email or provide you with information by posting notices on our website. For contractual purposes, you agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other.
18.1 Ideally, we aim to resolve any complaints you may have within a timescale of fourteen working days. If this is not possible because a full investigation has not yet been completed, a progress report will be sent to the complainant. If we, Rashan Pani, are unable to resolve a complaint that you make within eight weeks you can take your complaint to Retail ADR. This is an independent organization specializing in providing an alternative dispute resolution service for consumers and retailers.
18.2 Alternative dispute resolution is a process where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. If you are not happy with how we have handled any complaint, you may want to contact the alternative dispute resolution provider we use. Retail ADR will not charge you for making a complaint and if you are not satisfied with the outcome you can still bring legal proceedings.
